DETAILS:

The property is currently in the process of construction with estimated completion occurring October 2007.

The Waikoloa property consists of six (6) equal shares of ownership (16.66% ownership). Each owner is entitled to 60 nights of use per year. The detailed procedure for choosing time is found in the Tenant in Common Operating Agreement. Each owner may use the property, invite guests, or if they cannot use their time may opt to put their time into the Rental Pool for sharing of time and rental income with other owners, or may choose to rent out their time on their own, subject to the Operating Agreement.

Each owner holds their percentage of title as a Tenant in Common with the other owners. Each owner will hold title insurance to ensure that ownership rights remain fully protected, and will have a robust Operating Agreement in place to ensure investment security and preservation, management of the property, rules for use of the property, as well as entrance and exit strategies.

A Reservation Agreement and refundable cash deposit of five thousand dollars (US$5000) establishes the purchase price and initial time use selection priority for each prospective partner. A 30-day escrow period will be opened upon receipt of the deposit check and reservation agreement. The deposit check will be held by a professional escrow company and is refundable through the end of the 30-day due diligence period for review and approval of the governing documents. At the end of the 30-day due diligence period, the deposit becomes non-refundable. The balance of the purchase price will be due and payable in cash at the end of the 30-day escrow period.

The price is estimated at approximately $175,000 (One-Hundred Seventy-Five Thousand U.S. Dollars) per share for each 1/6 (16.66%) interest. There is also an estimated budgeted monthly assessment of $300 for operating expenses. Actual monthly expenses may vary. Peak Partnerships, LLC, maintains the right to change the price or terms at any time prior to share purchase.

The monthly assessment for operating expenses includes, but is not limited to: maintenance and repair, company management, property mgmt services, insurance, taxes, legal and accounting fees, homeowner's association dues, electricity, gas, telephone, water, cable, cleaning, pool and landscape maintenance, pest control, security system, establishing a reasonable reserve, and other items of common expense necessary or convenient to the ongoing preservation and maintenance of the Property anticipated by the Owners for the ensuing calendar year.
